Isaac has over 20 years of experience advising companies on initial public offerings, capital markets transactions, acquisitions, divestitures, and complex accounting and reporting issues. This includes advising clients on getting ready to go public via a SPAC, IPO or merge with a strategic partner. Isaac has an extensive international experience advising and auditing U.S., European, Asian and Latin American companies. He has been based in New York, Silicon Valley, Miami, Tokyo, Mexico City, Madrid and Caracas.
Assisted companies on analyzing strategic corporate reasoning behind an IPO, including: listing strategy, IPO thought process and planning, equity story development, stock profile, preliminary IPO valuation multiple driver analysis, listing venue selection, investor base analysis, peers group selection, KPI analysis, and financing structure.
Advised companies on IPO Readiness Assessment and transaction execution, including IPO diagnostic, reviewing and or drafting offering documents, MD&A, financial statements preparation, pro-forma financial information, investor relations function effectiveness and SEC comment letters.
Led buy-side accounting due diligence and finance integration services associated with domestic and cross-border M&A transactions.
Significant industry experience in managing large scale business separations, carve outs and spin-off IPOs.
Led large cross border accounting and financial reporting advisory projects, including GAAP conversion (US GAAP, IFRS, or other country GAAP).
